These Terms & Conditions ("Terms") govern your access to and use of the ProvenText control plane, APIs, and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
This page is maintained by ProvenText as a starting template. It is not legal advice; please have counsel review before you rely on it in production.
1. The Service
ProvenText is a human-in-the-loop content operations platform. Auto-generate and auto-post are off by default; every public action requires an authorized operator to approve.
2. Accounts and eligibility
- You must be at least 18 years old and legally able to enter contracts.
- You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs under your account, including actions taken by operators or agents you authorize.
3. Your content and connections
You retain ownership of the content you upload, generate, or ingest through the Service ("Customer Content"). You grant ProvenText a limited, worldwide, non-exclusive licence to host, process, transmit, and display Customer Content solely to provide the Service to you.
When you connect a third-party platform (Meta, Google, X, TikTok, WordPress, etc.) you represent that you have the right to do so and that ProvenText may act on your behalf within the scopes you granted, subject to that platform's own terms.
4. Acceptable use
You agree not to:
- Violate any law, regulation, or third-party right, including copyright, trademark, privacy, and publicity rights.
- Post spam, deceptive, or misleading content, or impersonate any person or brand you are not authorized to represent.
- Attempt to bypass approval gates, kill switches, or role-based access controls in the Service.
- Reverse engineer, scrape at scale, resell, or sublicense the Service without written consent.
- Introduce malware or interfere with the security or integrity of the Service or its users.
5. AI-generated content
Portions of the Service use AI models to generate drafts and suggestions. You are responsible for reviewing and approving any AI-generated content before it is published on your behalf. ProvenText does not guarantee the accuracy, originality, or legal compliance of AI-generated output.
6. Third-party platforms
The Service interoperates with third-party platforms via their public APIs. Those platforms are independent and may change or restrict access at any time. ProvenText is not responsible for third-party outages, policy changes, or content moderation decisions.
7. Fees and billing
If your plan includes fees, they will be presented before purchase. Fees are non-refundable except where required by law. Usage-based charges (for example, AI credits) are billed as incurred. Failure to pay may result in suspension or termination of the Service.
8. Suspension and termination
We may suspend or terminate your access to the Service at any time for a material breach of these Terms, suspected fraud or abuse, non-payment, or as required by law. You may cancel at any time; upon cancellation your data will be handled as described in the Privacy Policy.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROVENTEXT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVENTEXT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO PROVENTEXT IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID ANY FEES).
11. Indemnification
You agree to defend, indemnify, and hold ProvenText harmless from any claim, demand, or liability, including reasonable attorneys' fees, arising from your Customer Content, your use of the Service, or your violation of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
13. Changes
We may update these Terms from time to time. Material changes will be announced in the control plane. Continued use after changes take effect constitutes acceptance.
